ProdMatch — Terms of Service (User Agreement)

These Terms of Service (“Terms”) govern your access to and use of the ProdMatch website, applications, and related services (collectively, the “Service”). The Service is operated by [ProdMatch legal entity name] (“ProdMatch,” “we,” “us,” or “our”). Our support email is support@prodmatch.ai.

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2) The Service (Platform Role)

ProdMatch provides a platform that helps users:

  • describe needs and receive AI-assisted recommendations of products,
  • view product listings and founder profiles,
  • follow products, post comments, and submit ratings (where available),
  • message founders through in-Service chat.

ProdMatch is not a party to any agreement between users and founders, and we do not guarantee that any product will meet your requirements or that any founder will respond.

3) Accounts, Authentication, and Security

  • Account creation: You may register using email/password authentication.
  • Security: You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
  • Unauthorized use: You must notify us promptly if you suspect unauthorized access to your account.

4) Account Modes (User Mode and Founder Mode)

The Service offers two account experiences (each, an “Account Mode”):

  • User Mode: for discovering products, engaging with listings, and messaging founders.
  • Founder Mode: for creating and managing founder information and product listings, and (subject to Service rules) messaging users.

Your account may have access to one or both Account Modes, depending on onboarding completion. To help maintain accurate permissions and user experience, the Service may require you to log out and log back in when switching Account Modes.

5) Founder Listings and Founder Responsibilities

If you use Founder Mode (“Founder”), you agree that:

  • Accuracy: Product and profile information you provide must be accurate and not misleading.
  • Rights: You have all necessary rights to post your product name, logo, images, descriptions, and links.
  • Compliance: Your product and marketing must comply with applicable laws (including advertising, consumer protection, and IP laws).
  • No endorsement: ProdMatch does not endorse or verify claims made in listings.

We may remove or restrict listings that violate these Terms or that we reasonably believe create risk for users, ProdMatch, or third parties.

6) User Content (Comments, Messages, Listings, Images, Links)

“User Content” includes any content you submit through the Service, such as product listings, images, text, comments, ratings, and chat messages.

  • You own your User Content as between you and ProdMatch.
  • License to ProdMatch: You grant ProdMatch a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (e.g., formatting/resize), display, and distribute your User Content solely to operate, provide, secure, and improve the Service and as otherwise described in our Privacy Policy.
  • Responsibility: You are solely responsible for your User Content and any consequences of posting or sharing it.

7) Acceptable Use (Community & Safety Rules)

You agree not to:

  • harass, threaten, or abuse others, or send spam or unsolicited promotional messages;
  • post unlawful, defamatory, obscene, or infringing content;
  • impersonate others or misrepresent affiliation;
  • attempt to bypass access controls, rate limits, or security measures;
  • scrape, crawl, or use automated means to extract data without permission;
  • reverse engineer or attempt to derive source code or underlying models where prohibited by law;
  • use the Service to transmit malware or harmful code.

We may monitor for abuse and enforce these rules through warnings, content removal, feature restrictions, suspension, or termination.

8) Messaging and Interaction Rules

The Service includes product-scoped 1:1 messaging. Additional restrictions may apply to reduce abuse, including limits on who a Founder may initiate contact with. You agree to use messaging respectfully and lawfully.

9) Ratings, Reviews, and Anti-Manipulation

Ratings and comments are intended to reflect genuine experience. You agree not to manipulate ratings (e.g., fake reviews, coercion, incentives without disclosure). We may remove ratings/comments we believe are inauthentic or abusive.

10) AI Features (Important Disclosures)

The Service includes AI-assisted features (“AI Features”) such as intake conversations and AI-generated recommendation summaries and match explanations.

You acknowledge and agree:

  • AI output may be inaccurate and may not reflect real-world product capabilities.
  • AI output is provided “as is” and is for informational purposes only.
  • You are responsible for evaluating products and making your own decisions.
  • Do not rely on AI output as professional advice (including legal, medical, financial, or safety advice).

We may use third-party AI providers to provide AI Features. Your inputs and outputs may be processed to provide the Service and maintain/improve quality and safety, subject to our Privacy Policy.

11) Third-Party Services and Links

Product listings may include links to third-party websites and services. ProdMatch does not control and is not responsible for third-party content, policies, or practices. Your dealings with third parties are solely between you and the third party.

12) Intellectual Property

The Service (including software, design, logos, and trademarks) is owned by ProdMatch and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are granted.

13) Suspension, Termination, and Content Removal

We may suspend or terminate your access to the Service, or remove User Content, if we reasonably believe you violated these Terms, pose risk, or for legal/compliance reasons. You may stop using the Service at any time.

Account/profile deletion options may be available in the Service; some data may persist as required for safety, compliance, dispute resolution, or legitimate business purposes, consistent with our Privacy Policy.

14) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND AI FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PRODMatch DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ProdMatch does not warrant that the Service will be uninterrupted, secure, or error-free, or that any recommendations or listings will be accurate or suitable.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ProdMatch WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODMatch’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID PRODMatch (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16) Indemnification

You agree to defend, indemnify, and hold harmless ProdMatch and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

17) Dispute Resolution; Arbitration; Class Action Waiver (US)

Please read carefully. This section affects your legal rights.

  • Informal resolution first: Before filing a claim, you agree to contact us at support@prodmatch.ai and attempt to resolve the dispute informally.
  • Binding arbitration: Except for disputes that qualify for small claims court or requests for injunctive relief for misuse of intellectual property, you and ProdMatch agree to resolve disputes through binding arbitration administered by [AAA/JAMS] under its applicable rules.
  • No class actions: You and ProdMatch agree to bring disputes only on an individual basis. Class actions, class arbitrations, and representative actions are waived.
  • Opt-out: You may opt out of arbitration by notifying us in writing within 30 days of first accepting these Terms at [mailing/email address for legal notices].

Governing law: These Terms are governed by the laws of [State, e.g., Delaware], excluding its conflict of laws rules.

18) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by posting on the Service or via email). Continued use of the Service after the effective date of updated Terms constitutes acceptance.
